By purchasing products from Surface Depot, accessing our website, or using our services, you agree to be bound by these Terms of Service. Please read them carefully before making a purchase.

Important Notice

These terms constitute a legally binding agreement. If you do not agree to these terms, please do not use our services or purchase our products.

1. Acceptance of Terms

By placing an order, taking physical possession of goods, or using any Surface Depot service, you confirm acceptance of these Terms of Service. These terms apply to all current and future purchases and supersede any prior agreements.

2. Product Orders and Sales

Order Acceptance

  • All orders are subject to acceptance by Surface Depot
  • We reserve the right to refuse or cancel any order for any reason
  • Order confirmation does not guarantee product availability
  • Prices are subject to change without notice until order is confirmed

Product Information

  • We strive for accuracy in product descriptions, images, and specifications
  • Colors may vary due to screen settings and natural material variations
  • Dimensions and weights are approximate and may vary slightly
  • Product availability is subject to change without notice

3. Pricing and Payment

Pricing

  • All prices are in USD (or local currency) and exclude taxes unless stated otherwise
  • Applicable sales tax, VAT, and duties will be added to your order
  • Shipping and handling charges are separate and will be calculated at checkout
  • We reserve the right to correct pricing errors even after order placement

Payment Terms

  • Retail Customers: Payment is due at time of purchase via credit card, debit card, or approved payment methods
  • Trade Account Customers: Payment is due within 10 days from the last day of the month in which the invoice is rendered
  • Late Payment: Past due amounts bear interest at the maximum rate permitted by law
  • Collection Costs: Customer agrees to pay reasonable attorneys' fees and costs for collection of past due amounts

4. Shipping, Pickup, and Delivery

All orders are available for local pickup at our warehouse: 4301 Pleasantdale Road, Suite F, Doraville, GA 30340. Delivery is available by request only and is not guaranteed.

Pickup Policy

  • All orders default to warehouse pickup unless delivery is requested and confirmed
  • Please bring your order confirmation or proof of purchase when picking up
  • Pickup hours: Monday-Friday 10am-5pm EST, Saturday 11am-5pm EST, Sunday by appointment
  • Orders must be picked up within 7 business days of purchase or a $25/day storage fee will apply

Delivery Request Policy

  • Delivery is not automatic. You must request delivery during checkout.
  • A Surface Depot team member will contact you within 1-3 business days with a delivery quote
  • Delivery is not guaranteed. We evaluate each request based on location and logistics
  • Until delivery is confirmed by our team, please plan to pick up your order at our warehouse
  • We do not ship internationally. All sales are for local pickup or local delivery only
  • Customer is responsible for inspecting delivery upon receipt

5. Inspection, Damage Reporting, and Returns

ALL SALES ARE FINAL

Surface Depot does not accept returns for change of mind, incorrect orders, or buyer's remorse. All sales are final. Please review your order carefully before completing your purchase.

We strongly recommend ordering samples before making large purchases to ensure the products meet your expectations.

Damage Reporting Requirements

Customer must report any damage within seven (7) business days of receiving their order.

  • Take clear photos of all damaged panels and email them to support@surfacedepot.com
  • Include your order number and a description of the damage
  • We offer panel-by-panel replacement for damaged products reported within the 7-day window
  • Damage not reported within 7 business days is not covered under our replacement policy

Defective Products Only

For manufacturing defects (not damage), please contact us within 30 days of receiving your order.

  • Manufacturing defects are covered under our separate Warranty Policy
  • Defective panels will be replaced at no cost to the customer
  • Products must be inspected by Surface Depot to verify the defect
  • Normal wear and tear, improper installation, and misuse are not covered

6. Product Selection and Use

IMPORTANT DISCLAIMER

CUSTOMER IS RESPONSIBLE FOR DETERMINING THE PRODUCTS THEY CHOOSE TO PURCHASE, FOR WHAT PURPOSES THOSE PRODUCTS WILL BE USED, AND WHETHER THOSE PRODUCTS CAN BE USED IN COMBINATION WITH OTHER MATERIALS.

CUSTOMER AGREES THAT IT IS NOT RELYING ON THE SKILL OR JUDGMENT OF SURFACE DEPOT OR ANY OF ITS EMPLOYEES OR AGENTS TO SELECT OR FURNISH PRODUCTS SUITABLE FOR ANY PARTICULAR PURPOSE OR IN COMPLIANCE WITH ANY PLANS OR SPECIFICATIONS.

7. Warranties and Disclaimers

Limited Warranty

Surface Depot provides limited warranties on its products as detailed in our separate Warranty Policy. Our sole remedy for defective products is repair, replacement, or refund of purchase price, at our discretion.

DISCLAIMER OF IMPLIED WARRANTIES:

SURFACE DEPOT MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS OR SUITABILITY FOR ANY PARTICULAR PURPOSE OR THE MERCHANTABILITY OF ANY PRODUCTS. CUSTOMER'S SOLE AND EXCLUSIVE REMEDY AGAINST SURFACE DEPOT FOR DEFECTIVE OR NON-CONFORMING PRODUCTS SHALL BE REPAIR, REPLACEMENT, OR REFUND OF PURCHASE PRICE, WITH THE REMEDY TO BE SELECTED BY SURFACE DEPOT IN ITS SOLE DISCRETION.

8. Limitation of Liability

LIMITATION OF DAMAGES

CUSTOMER HEREBY WAIVES ALL REMEDIES EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS. IN NO EVENT SHALL SURFACE DEPOT BE LIABLE FOR ANY NEGLIGENCE OR GENERAL, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES INCLUDING BUT NOT LIMITED TO:

  • Lost profits or sales
  • Labor or installation costs
  • Death of or injury to person
  • Damage to property
  • Business interruption
  • Any other loss, even if Surface Depot has been advised of the possibility of such damages

Surface Depot's maximum liability shall not exceed the purchase price of the product giving rise to the claim.

9. Customer Indemnification

Customer agrees to indemnify, defend, and hold harmless Surface Depot, its affiliates, officers, directors, employees, and agents from and against all claims, losses, liabilities, and damages (including reasonable attorneys' fees and costs) asserted against or incurred by Surface Depot with respect to:

  • The products or delivery thereof
  • Any related act, error, or omission
  • Customer's use or misuse of products
  • Customer's breach of these Terms
  • Claims of third parties related to customer's use of products

IT IS THE INTENT OF CUSTOMER TO INDEMNIFY SURFACE DEPOT FOR ITS OWN NEGLIGENCE.

10. Force Majeure

Surface Depot shall not be liable for any delay in shipment or inability to complete work due to causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, and severe weather
  • War, terrorism, civil unrest, and government actions
  • Labor disputes, strikes, and lockouts
  • Supplier failures and material shortages
  • Pandemics, epidemics, and public health emergencies
  • Transportation disruptions and carrier delays
  • Utility failures and infrastructure problems

11. Credit and Trade Accounts

Credit Application

  • Trade credit is subject to approval and credit checks
  • Surface Depot may conduct credit reference searches
  • Credit limits may be established and modified at our discretion
  • Personal guarantees may be required for business accounts

Account Terms

  • Customer authorizes Surface Depot to designate lots/units for material delivery
  • All sales to a specific lot constitute one supply contract for lien purposes
  • Customer waives right to set-off or backcharge against amounts owed
  • Related entities must establish separate accounts; primary customer remains liable

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflicts of law provisions. By using our services, you consent to:

  • Personal jurisdiction in the State of Georgia, United States
  • Venue in courts located in DeKalb County, Georgia
  • Waiver of jury trial for any disputes

13. Limitation Period for Claims

Any action by Customer against Surface Depot arising from products sold must be commenced within one (1) year from the date of delivery of the subject products. Any claims not brought within this period are forever barred.

14. Intellectual Property

All content on Surface Depot's website, including but not limited to text, images, logos, graphics, and software, is the property of Surface Depot or its licensors and is protected by copyright, trademark, and other intellectual property laws.

  • You may not reproduce, distribute, or create derivative works without permission
  • Product images and descriptions are for personal reference only
  • Unauthorized commercial use is strictly prohibited

15. Website Use and Restrictions

When using our website, you agree not to:

  • Use automated systems (bots, scrapers) to access or extract data
  • Interfere with website functionality or security
  • Attempt unauthorized access to our systems
  • Upload malicious code or viruses
  • Impersonate Surface Depot or its representatives
  • Violate any applicable laws or regulations

16. Modifications to Terms

Surface Depot reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms. No modification is binding on Surface Depot unless made in writing and executed by an authorized representative.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, all other provisions shall nevertheless continue in full force and effect.

18. Waiver

Any waiver or non-enforcement by Surface Depot of a breach or default shall not be deemed a waiver of any subsequent breach or default unless Surface Depot has made such waiver in writing executed by an authorized representative.

19. Entire Agreement

These Terms, together with our Privacy Policy and Warranty Policy, constitute the entire agreement between you and Surface Depot regarding the use of our services and purchase of our products. These Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
